



These Terms & Conditions ("Terms") form a binding agreement between Outbox Labs Inc., a Delaware corporation doing business as Zapmail ("Zapmail," "we," "us," or "our"), and the person or entity that accesses or uses the Services ("Customer," "you," or "your").
By creating an account, clicking to accept, accessing or using the Services, connecting a domain or registrar, inviting users, enabling billing, submitting payment information, purchasing a plan or add-on, using any free feature, joining a waitlist, booking a demo, or otherwise interacting with the Services, you agree to these Terms. If you do not agree, do not use the Services.
If you are using the Services on behalf of a company, agency, client, or other organization, you represent and warrant that you have authority to bind that organization to these Terms. In that case, "you" includes that organization.
For purposes of these Terms:
Account means the customer account used to access the Services.
Administrator means any user you authorize to manage your Account, Workspace, users, domains, mailboxes, billing, registrar connections, integrations, settings, or data.
Affiliate means any entity that directly or indirectly controls, is controlled by, or is under common control with a party.
Buyback Credit means non-cash credit issued to your Wallet in connection with an approved domain buyback.
Connected Provider means any third-party provider, platform, system, API, network, or service used with or through the Services, including email providers, DNS providers, registrars, payment processors, warmup tools, sequencing tools, CRMs, analytics providers, blocklist providers, cloud infrastructure providers, or communication providers.
Customer Data means any data, content, files, domains, mailbox information, messages, configurations, credentials, instructions, uploads, exports, reports, logs, contact information, or other materials submitted to, stored in, or processed through the Services by or on behalf of Customer.
Documentation means Zapmail's product documentation, help articles, onboarding materials, setup guides, support materials, and usage guidance.
Domain Services means domain-related services made available by Zapmail, including registration, connection, DNS configuration, forwarding, monitoring, health checks, renewal support, buyback, and related workflows.
Mailbox Services means mailbox-related services made available by Zapmail, including provisioning, setup, export, warmup-related configuration support, placement testing, and related workflows.
Order means any purchase, subscription, add-on, usage-based purchase, renewal, wallet top-up, domain purchase, mailbox purchase, test purchase, or other transaction accepted by Zapmail.
Services means Zapmail's websites, dashboard, APIs, applications, domain tools, mailbox tools, Workspaces, Zapbox, reports, monitoring tools, Wallet, rewards, integrations, and all related software, products, services, and functionality provided by Zapmail.
Wallet means the balance, credits, stored value, adjustments, promotional credits, service credits, and Buyback Credits reflected in your Zapmail account for use toward eligible purchases or charges in the Services.
Workspace means a logical environment through which domains, mailboxes, users, data, reports, tests, logs, filters, actions, and other assets may be administered.
Zapbox means Zapmail's inbox, reply, message-management, collaboration, thread, compose, search, organization, and related communication functionality.
The Services are offered only for lawful business and professional use. You represent and warrant that:
Zapmail may reject registrations, require additional verification, restrict use by geography, entity type, risk profile, payment history, or product category, or refuse to provide access where Zapmail believes doing so is necessary to manage legal, operational, reputational, or provider risk.
Zapmail provides infrastructure, software, automation, workflows, integrations, and management tools relating to domains, mailboxes, deliverability operations, billing, monitoring, and related email infrastructure.
The Services may include, without limitation:
Zapmail may add, modify, replace, suspend, limit, or remove any feature, workflow, integration, product, or functionality at any time, with or without notice. Features shown in marketing materials, roadmaps, demos, UI screenshots, onboarding materials, or Documentation are illustrative only and do not create a binding obligation to provide any specific feature, roadmap item, or service level.
Unless expressly agreed in a signed writing, Zapmail is not obligated to provide custom development, custom integrations, migration services, enterprise support, legal review, deliverability consulting, registrar advocacy, or provider-side dispute resolution.
The Services depend on and interact with third parties, including but not limited to Google, Microsoft, domain registrars, DNS providers, cloud infrastructure providers, payment processors, warmup tools, sequencing tools, data providers, analytics providers, communication providers, and blocklist operators.
Zapmail is not an independent email service provider. Zapmail does not control third-party provider policies, enforcement decisions, platform changes, suspensions, routing, rate limits, account reviews, pricing changes, API limits, blacklist decisions, or provider-side downtime.
Your use of any Connected Provider is subject to that provider's own terms, privacy policies, billing rules, acceptable use policies, and enforcement decisions. You are solely responsible for complying with those requirements.
Zapmail is not responsible for any act, omission, outage, delay, limitation, account review, enforcement action, pricing change, product change, suspension, deletion, blacklist event, registrar refusal, or other failure by a Connected Provider.
You are responsible for safeguarding your Account credentials and for all activity occurring under your Account, Workspaces, and Administrator access, whether or not authorized by you.
You are responsible for each Administrator and invited user you add or permit to access the Services. Administrators may be able to view, modify, export, delete, buy, renew, configure, transfer, or otherwise affect assets and data across one or more Workspaces. Zapmail may rely on instructions from your Administrators without independently verifying their authority.
If the Services provide shared, unified, or cross-workspace views, cross-workspace invitations, or centralized management, you acknowledge that those features may expose certain data, configurations, reports, or logs to users you authorize. You are solely responsible for assigning and maintaining appropriate access rights.
Zapmail may permit Workspaces to be archived if they meet Zapmail's eligibility conditions, such as the absence of active subscriptions, active domains, active mailboxes, or other active assets. Archived status does not guarantee preservation, exportability, retention, or recovery of any data.
Some Services require payment of recurring or one-time fees. You agree to pay all fees, charges, taxes, and applicable surcharges associated with your Orders.
By submitting payment information, enabling auto top-up, storing a payment method, or placing an Order, you authorize Zapmail and its payment processors to charge your selected payment method for all amounts due, including subscriptions, renewals, add-ons, usage-based charges, taxes, adjustments, failed-payment retries, overdue balances, and authorized top-ups.
Recurring subscriptions, plans, and certain add-ons automatically renew unless canceled before the applicable renewal date. You authorize Zapmail to charge the renewal amount using your payment method and/or Wallet balance.
Zapmail may apply available Wallet balance before, after, or in combination with other payment methods, at its discretion or based on product logic. Wallet balances may be used to satisfy eligible invoices, renewals, adjustments, overdue balances, or other charges.
The Wallet is a contractual account feature only. It is not a bank account, stored-value card, escrow account, trust account, or payment instrument. Wallet balances do not accrue interest and are not insured.
Except where expressly required by law or expressly approved by Zapmail in writing, Wallet credits, promotional credits, service credits, courtesy credits, and Buyback Credits are non-cash, non-transferable, not redeemable for cash, and usable only within the Services subject to product rules.
Zapmail may change pricing, packaging, included allowances, usage limits, seat counts, feature availability, renewal rates, billing mechanics, and add-on pricing at any time. Unless otherwise stated, pricing changes apply prospectively.
Where a Service depends on a third-party provider, renewals and future pricing may change because of provider pricing, promotional period expiration, taxes, exchange rates, vendor costs, or changes in provider packaging. Zapmail is not obligated to preserve promotional or introductory pricing beyond the applicable period.
Fees are exclusive of taxes unless explicitly stated otherwise. You are responsible for all applicable sales, use, GST, VAT, withholding, telecommunications, digital services, or similar taxes, except taxes based on Zapmail's net income.
You may not withhold, offset, or reduce amounts owed to Zapmail without Zapmail's prior written consent.
All fees are non-cancelable and non-refundable except as expressly required by law or expressly approved by Zapmail in writing.
Zapmail may, in its sole discretion, issue a refund, partial refund, service adjustment, or Wallet credit in limited cases, including a verified duplicate charge caused solely by Zapmail's billing error or a failure to provision a paid Service within a commercially reasonable period solely due to Zapmail's fault.
Zapmail may issue Wallet credit instead of a cash refund.
No refunds are owed for provider-side suspensions, blacklist events, registrar issues, DNS propagation delays, campaign performance issues, deliverability issues, reputation issues, user error, compliance issues, misuse, or actions taken by Google, Microsoft, registrars, DNS providers, or other Connected Providers.
Initiating a chargeback, payment reversal, or unauthorized dispute relating to a valid charge may constitute a material breach of these Terms. Zapmail may suspend or terminate your Account, reverse credits, cancel Orders, deny support, disable functionality, or pursue collection remedies.
You agree to pay Zapmail's reasonable costs of collecting overdue amounts, including payment processor fees, collection costs, and reasonable attorneys' fees where permitted by law.
You are solely responsible for ensuring that you have all rights, permissions, and authority needed to register, connect, transfer, configure, renew, monitor, buy, sell, buy back, or otherwise use any domain through the Services.
By using Domain Services, you authorize Zapmail to apply, recommend, queue, automate, or assist with DNS, forwarding, redirect, verification, authentication, nameserver, or related domain changes necessary to provide the Services or carry out your instructions.
DNS changes, nameserver changes, forwarding, verification, authentication, and similar operations may be delayed, partially effective, rolled back, blocked, rate-limited, or rejected by third parties. Zapmail does not guarantee timing, completeness, or uninterrupted propagation.
You remain solely responsible for monitoring renewals, expiration dates, grace periods, redemption windows, and domain status, even if the Services provide reminders, alerts, health checks, or an action-needed section. Such notices are courtesy features only.
Certain domains, domain categories, or domain products may be subject to special restrictions, including non-transferability, Zapmail-managed DNS requirements, product lifecycle limits, provider constraints, inventory constraints, or support limitations.
Zapmail is not liable for domain expiration, transfer lock, failed renewal, redemption fees, registrar refusal, deletion, suspension, nameserver issues, DNS issues, propagation issues, trademark disputes, abuse complaints, or other domain-related loss.
The Services may allow you to connect registrar accounts or submit registrar credentials, tokens, or permissions. By doing so, you authorize Zapmail to access and use those credentials solely to provide requested registrar-connected functionality.
You represent and warrant that you have full authority to connect each registrar account and to permit Zapmail to view, manage, update, or automate actions for the domains in that account.
Within the scope of the Services and your enabled settings or instructions, Zapmail may view domains, detect registrar status, update nameservers, modify DNS-related settings where supported, support connection workflows, and perform related automated actions.
Zapmail is not obligated to independently verify whether you own, control, or are entitled to administer any domain or registrar account you connect.
Registrar connections may fail, partially fail, become stale, lose authorization, be rate-limited, become unsupported, or behave unexpectedly due to provider API changes, permission changes, or product limitations. Zapmail is not liable for such failures.
Zapmail may, in its sole discretion, offer a feature allowing you to sell certain eligible domains back to Zapmail. Eligibility is determined exclusively by Zapmail and may change at any time. Eligibility indicators shown in the product are provisional only and may be revoked before completion.
Buyback eligibility and pricing may be based on any factors Zapmail deems relevant, including domain quality, naming quality, commercial utility, genericity, niche specificity, keyword quality, marketability, abuse history, assignment history, transferability, DNS history, blacklist signals, age, inventory needs, and internal scoring.
Zapmail has no obligation to purchase any domain, honor any indicative price, or complete any buyback submission.
Once a domain buyback is approved and completed, the transaction is final and irreversible. You may permanently lose rights to use, recover, renew, manage, or transfer the domain.
Buyback consideration, if any, will be provided only as Buyback Credit to your Wallet unless Zapmail expressly states otherwise in writing. Buyback Credit is not cash, is not withdrawable, and may be used only within the Services.
Zapmail may reject, hold, reverse, or claw back a buyback or associated Buyback Credit if Zapmail reasonably suspects fraud, mistake, duplicate submission, rights dispute, transfer failure, registrar failure, payment dispute, abuse, or breach of these Terms.
Zapmail may provision or support provisioning of mailboxes through Google Workspace, Microsoft 365, SMTP providers, or other supported systems. Timing estimates are estimates only and are not guarantees.
You are solely responsible for mailbox usage, recipients, sending patterns, sending volume, list quality, recipient targeting, reply handling, unsubscribe handling, content, compliance, and compliance with provider rules and applicable law.
Zapmail does not guarantee inbox placement, open rates, reply rates, sender reputation, domain reputation, provider trust, account longevity, engagement, pipeline, conversion, or campaign outcomes.
Mailbox Services are subject to provider policies and enforcement. Providers may rate-limit, review, suspend, or terminate mailboxes at any time. Zapmail is not liable for those actions.
Zapmail may provide export, credential, or connection workflows for use with third-party platforms. You are responsible for securing exported credentials and for all activity occurring after export.
Pre-warmed mailboxes are specialized products and may be subject to fixed lifecycles, restrictions on renewal, restrictions on modification, product-specific provisioning rules, or operational requirements. Results vary materially based on user conduct, provider enforcement, and external factors.
Pre-warmed domains may be subject to additional restrictions, including required Zapmail-managed configuration, limitations on transfer, limitations on manual modification, or support conditions. Unauthorized changes may degrade performance or void support.
Aged domains are offered as-is and are not a guarantee of better performance, account longevity, reputation, or inbox placement.
Placement tests are simulated, sampled, directional, and informational only. They are not definitive, exhaustive, or predictive of production performance.
ZapShield, health checks, blacklist monitoring, reports, scans, warnings, scores, logs, and related tools provide visibility and recommendations only. They do not guarantee blacklist immunity, reputation protection, remediation success, or uninterrupted sending health.
Reports, dashboards, scans, PDFs, logs, scores, warnings, search results, health checks, action-needed notifications, and similar outputs are informational only and may be incomplete, delayed, estimated, sampled, or derived from third-party or automated sources.
You must not rely on these outputs as a substitute for your own monitoring, legal review, technical review, security review, compliance program, or recordkeeping obligations.
Activity logs are not guaranteed to be complete, tamper-evident, permanently retained, or admissible for audit, legal, employment, disciplinary, or forensic purposes.
Zapmail may fail to send, display, preserve, or deliver alerts, reminders, warnings, or notifications. You remain solely responsible for renewals, subscription status, domain status, provider actions, and operational oversight.
Zapbox is a productivity and message-management functionality. It may include inbox views, thread views, compose functionality, signatures, search, filters, tags, imports, exports, keyboard shortcuts, contact context, and related features.
Unless expressly stated in a separate signed agreement, Zapbox is not a regulated archiving solution, legal-hold system, compliance-retention system, or records-management system.
You are solely responsible for messages, drafts, signatures, attachments, tags, imports, exports, routing, forwarding, and communications handled through Zapbox, including legality, ownership, compliance, retention, and user access.
Zapbox may depend on external mailbox connectivity, provider permissions, and third-party APIs. Zapmail does not guarantee complete sync, real-time sync, preservation of all message history, uninterrupted delivery, or perfect threading.
The Services may include AI-assisted or automated features, including name generation, profile-image workflows, summaries, recommendations, categorization, scoring, alerts, or similar tools.
You are solely responsible for reviewing and approving all AI-generated or automated outputs before use. Zapmail does not warrant that such outputs are accurate, lawful, non-infringing, unbiased, unique, suitable for any purpose, or compliant with provider policies.
You may not use AI or automation features to impersonate real individuals unlawfully, misrepresent identity, violate rights of publicity, deceive recipients unlawfully, or otherwise engage in unlawful or unethical conduct.
You represent and warrant that you have all rights necessary to upload and use any image, likeness, logo, content, or other asset used in connection with AI or profile-generation features.
The Services may integrate with third-party platforms such as sequencing tools, warmup tools, CRMs, analytics providers, data providers, and other systems. Integration availability may change at any time.
Zapmail may read, write, update, export, import, or transmit data to or from such integrations as required to provide the associated functionality.
Zapmail is not liable for API changes, failed syncs, stale data, unsupported fields, mapping errors, platform-side overwrites, rate limits, outages, data loss, or changes made by or through integrated third-party systems.
You must not, and must not permit others to:
Zapmail may investigate suspected misuse and may remove content, restrict features, deny buys or buybacks, cancel orders, freeze credits, suspend access, or terminate Accounts at any time where Zapmail reasonably believes doing so is necessary.
Zapmail may monitor, access, collect, review, preserve, analyze, and use information relating to your use of the Services, Account, Workspaces, administrators, orders, billing profile, domains, mailboxes, integrations, support interactions, and related activity for the following purposes: providing and operating the Services; account administration; onboarding; support; security; fraud detection; abuse prevention; risk management; provider compliance; billing; collections; troubleshooting; analytics; internal reporting; product development; quality assurance; service optimization; training; communications; and Zapmail's marketing, advertising, promotion, and sale of its own products and services, in each case subject to applicable law and Zapmail's Privacy Policy.
Zapmail may use contact and account information you provide through signup forms, demo requests, billing workflows, support interactions, webinar registrations, surveys, waitlists, referrals, partner discussions, affiliate applications, and similar interactions to contact you regarding your account, the Services, feature launches, offers, renewals, upgrades, educational content, events, partner opportunities, and other business or marketing communications, subject to applicable law and available opt-out rights.
Zapmail may investigate suspected misuse and may remove content, restrict actions, cancel orders, disable features, freeze credits, deny buybacks, suspend access, or terminate Accounts at any time where Zapmail reasonably believes such action is necessary to protect itself, its users, providers, or third parties.
Zapmail may suspend or limit access immediately, without prior notice, for non-payment, suspected fraud, abuse complaints, provider flags, security risk, legal risk, chargebacks, sanctions concerns, or suspected breach of these Terms.
Zapmail has no refund obligation for suspensions, limitations, or terminations arising from your conduct, your users' conduct, Connected Provider actions, or risk-control measures.
Zapmail processes personal data in accordance with its Privacy Policy, which is incorporated into these Terms by reference to the extent permitted by law.
You are solely responsible for the legality, accuracy, quality, integrity, disclosure, collection, transfer, and use of Customer Data, including obtaining all notices, permissions, and consents necessary for Zapmail and its service providers to process Customer Data in connection with the Services.
Without limiting the Privacy Policy, Zapmail may process Customer Data and related account information for the following purposes:
Zapmail may generate, compile, derive, disclose, publish, license, and use aggregated, anonymized, statistical, trend, benchmark, and de-identified data derived from Customer Data or use of the Services for lawful business purposes, including analytics, research, product improvement, investor reporting, website content, sales materials, white papers, and marketing materials, provided that such data does not reasonably identify you, an individual, your prospects, your recipients, or your confidential campaign details.
Zapmail will use commercially reasonable administrative, technical, and organizational measures designed to protect the Services and Customer Data, but no service is completely secure. Zapmail does not guarantee that the Services will be free from unauthorized access, attacks, compromise, loss, corruption, delay, interception, or provider-side failures.
Unless expressly agreed in a separate signed agreement, you must not use the Services to process highly sensitive or specially regulated data where additional contractual, technical, or legal controls are required.
You grant Zapmail and its Affiliates a non-exclusive, worldwide, royalty-free right and license to use your company name, trade name, trademark, service mark, and logo in Zapmail's customer lists, website materials, sales collateral, pitch decks, investor materials, partner materials, case-study index pages, social posts, event materials, and similar promotional or marketing materials solely to identify you as a current or former customer or user of the Services.
This publicity right is granted as part of these Terms and does not require any further approval from you.
Zapmail may describe you in a factual manner as a customer or user of the Services. Zapmail may resize, reformat, and display your logo or brand assets as reasonably necessary for layout, style, and presentation, provided Zapmail does not materially distort your marks.
Zapmail will not knowingly use your marks in a way that is false, misleading, defamatory, unlawful, or that falsely states a specific endorsement by you beyond your status as a current or former customer, unless separately approved by you.
If you provide a testimonial, quote, review, endorsement, success metric, or similar statement to Zapmail, or if you separately approve a case study, quote, customer story, metric, or endorsement in writing, email, support chat, or another verifiable format, you grant Zapmail and its Affiliates a non-exclusive, worldwide, royalty-free right and license to reproduce, adapt for length and formatting, publish, display, distribute, and otherwise use that approved content, together with your approved name, title, company name, and logo, for Zapmail's marketing, public-relations, recruiting, partner, investor, and sales purposes.
Unless otherwise agreed in writing, this approval continues until revoked by you in writing, and any revocation applies prospectively only. Zapmail will use commercially reasonable efforts to honor revocation within a reasonable period, but will not be required to recall printed materials, remove archived content, or unwind prior lawful distributions.
If you do not want Zapmail to use your company name or logo under Section 20.1, you must notify Zapmail in writing at [email protected]. Zapmail may take a commercially reasonable time to process such a request and remove future uses. This opt-out will not require Zapmail to recall, destroy, or retroactively remove materials already published, printed, distributed, cached, scheduled, or prepared before processing the opt-out request.
Unless otherwise expressly agreed in writing, you will not be entitled to compensation, royalties, revenue share, or approval rights for uses permitted under this Section.
Zapmail and its licensors own all right, title, and interest in and to the Services, including all software, interfaces, designs, dashboards, workflows, Documentation, reports, branding, and improvements.
Subject to these Terms, Zapmail grants you a limited, non-exclusive, non-transferable, non-sublicensable, revocable license to access and use the Services during the applicable subscription term for your internal business operations.
Except as expressly permitted, you may not copy, modify, distribute, lease, sell, reverse engineer, decompile, disassemble, or otherwise exploit the Services.
If you provide feedback, suggestions, ideas, requests, comments, or proposed improvements relating to the Services, Zapmail may use them without restriction or compensation, and you grant Zapmail a perpetual, irrevocable, worldwide, royalty-free right and license to do so.
If either party discloses non-public business, technical, product, operational, pricing, roadmap, legal, security, or customer information ("Confidential Information") to the other party, the receiving party will protect it using reasonable care and will not use or disclose it except as necessary to perform under these Terms, exercise rights under these Terms, or as otherwise permitted by these Terms.
Confidential Information does not include information that:
Zapmail's use of aggregated or de-identified data under Section 19.4, and Zapmail's use of customer names, logos, testimonials, quotes, case studies, and related materials as permitted under Section 20, will not constitute a breach of this Section.
Zapmail may offer beta, preview, limited-release, or experimental features. Such features are provided "as is," may be incomplete, may change materially, may be discontinued at any time, and may be subject to additional limitations. Zapmail has no liability arising from beta or experimental features.
These Terms begin when you first accept them or first use the Services and continue until terminated.
You may stop using the Services at any time. Cancellation affects future renewal only and does not entitle you to refunds unless expressly approved by Zapmail or required by law.
Zapmail may terminate these Terms, your Account, any Workspace, or any Service at any time for convenience or immediately for cause, including breach, non-payment, chargeback, fraud, misuse, provider risk, or legal risk.
Upon suspension, cancellation, expiration, or termination:
Zapmail does not guarantee that any data, domain, mailbox, message history, report, or Workspace state can be recovered after suspension, expiration, deletion, or termination.
TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE." ZAPMAIL DISCLAIMS ALL WARRANTIES, WHETHER EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, QUIET ENJOYMENT, ACCURACY, AND RESULTS.
WITHOUT LIMITING THE FOREGOING, ZAPMAIL DOES NOT WARRANT THAT:
TO THE MAXIMUM EXTENT PERMITTED BY LAW, ZAPMAIL AND ITS AFFILIATES, LICENSORS, SERVICE PROVIDERS, AND SUPPLIERS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, BUSINESS, GOODWILL, DATA, REPUTATION, OPPORTUNITY, OR REPLACEMENT COSTS, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
TO THE MAXIMUM EXTENT PERMITTED BY LAW, ZAPMAIL'S TOTAL AGGREGATE LIABILITY ARISING OUT OF OR RELATING TO THE SERVICES OR THESE TERMS WILL NOT EXCEED THE GREATER OF:
THESE LIMITATIONS APPLY REGARDLESS OF THE FORM OF ACTION AND REGARDLESS OF WHETHER ANY REMEDY FAILS OF ITS ESSENTIAL PURPOSE.
You will defend, indemnify, and hold harmless Zapmail, its Affiliates, and their officers, directors, employees, contractors, licensors, and agents from and against any claims, demands, suits, investigations, proceedings, damages, losses, liabilities, judgments, settlements, fines, penalties, costs, and expenses, including reasonable attorneys' fees, arising out of or relating to:
You may not use the Services in violation of U.S. export control laws, sanctions laws, or other applicable trade restrictions. You represent and warrant that you are not located in, organized in, or ordinarily resident in any prohibited jurisdiction and are not a prohibited or restricted party.
These Terms are governed by the laws of the State of Delaware, without regard to conflict-of-laws principles. Any dispute, claim, or controversy arising out of or relating to these Terms or the Services will be brought exclusively in the state or federal courts located in Delaware, and each party consents to the personal jurisdiction and venue of those courts.
EACH PARTY IRREVOCABLY WAIVES ANY RIGHT TO TRIAL BY JURY TO THE MAXIMUM EXTENT PERMITTED BY LAW.
TO THE MAXIMUM EXTENT PERMITTED BY LAW, YOU MAY BRING CLAIMS ONLY IN YOUR INDIVIDUAL CAPACITY AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS, REPRESENTATIVE, CONSOLIDATED, OR COLLECTIVE ACTION.
Zapmail may update these Terms from time to time. Updated Terms become effective when posted or otherwise communicated by Zapmail. Your continued use of the Services after the effective date of revised Terms constitutes acceptance of the revised Terms.
If Zapmail makes a change that materially adversely affects your rights and you object to that change, your exclusive remedy is to stop using the affected Services and cancel applicable renewals before the revised Terms take effect.
These Terms, together with any incorporated policies and any signed order form or written agreement expressly referencing these Terms, constitute the entire agreement between you and Zapmail regarding the Services and supersede prior discussions or understandings on that subject.
If there is a conflict between these Terms and a signed written agreement between you and Zapmail, the signed written agreement controls to the extent of the conflict.
You may not assign or transfer these Terms, in whole or in part, without Zapmail's prior written consent. Zapmail may assign these Terms freely, including in connection with a merger, acquisition, corporate reorganization, financing, or sale of assets.
Failure to enforce any provision is not a waiver of future enforcement.
If any provision is held unenforceable, the remaining provisions will remain in full force and effect, and the invalid provision will be enforced to the maximum extent permissible.
The parties are independent contractors. These Terms do not create any partnership, franchise, joint venture, fiduciary, employment, or agency relationship.
Zapmail is not liable for delay, failure, or interruption caused by events beyond its reasonable control, including failures of providers, internet outages, labor issues, governmental action, sanctions, cyberattacks, infrastructure failures, civil unrest, natural disasters, or force majeure events.
Zapmail may provide notices, disclosures, updates, and communications by email, in-product message, dashboard notification, support communication, posting within the Services, posting on Zapmail websites, or other electronic means. Such communications may include transactional notices, legal notices, policy updates, service communications, billing notices, renewals, collections, feature announcements, educational content, surveys, event invitations, and marketing communications, subject to applicable law.
You are responsible for keeping your contact details current and for reviewing communications sent or made available by Zapmail.
You consent to receive communications from Zapmail electronically. You agree that agreements, notices, disclosures, invoices, records, policy updates, and other communications provided electronically satisfy any legal requirement that such communications be in writing.
To the extent permitted by law, your provision of contact information to Zapmail and your continued relationship with Zapmail also constitutes consent for Zapmail to send you communications relating to your account, transactions, subscriptions, service updates, educational materials, and Zapmail's marketing or promotional communications, subject to any required opt-out, unsubscribe, consent, or objection rights under applicable law.
